1. Acceptance of Terms

Welcome to infraMOD™ (operated by Saskarc Inc.). By accessing or using our website at inframod.com (the “Website”), requesting quotes, purchasing products or services, or engaging with our modular infrastructure solutions, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Website or services.

These Terms constitute a legally binding agreement between you (“User,” “Client,” “you,” or “your”) and Saskarc Inc., doing business as infraMOD (“infraMOD,” “we,” “us,” or “our”).

infraMOD is a division of Saskarc Inc., a subsidiary of Saskarc Group, specializing in modular temporary steel infrastructure solutions for construction and civil engineering projects.

3. Services Provided

infraMOD provides innovative modular infrastructure solutions including but not limited to:

  • Modular Walers and Struts: Support of excavation systems with bolted connections
  • Modular Traffic Decking: Highway-rated temporary traffic solutions
  • Modular Vehicular Bridges: Prefabricated bridge systems for temporary access
  • Custom Engineering Solutions: Project-specific design and consultation
  • Fabrication and Installation: Steel fabrication, delivery, and installation services
  • Equipment Rental: Temporary infrastructure equipment rental and leasing

4. Use of Website

4.1 Permitted Use

You may use our Website for lawful purposes only, including:

  • Researching our products and services
  • Requesting quotes and project consultations
  • Submitting inquiries through contact forms
  • Downloading publicly available resources and documentation

4.2 Prohibited Use

You may not:

  • Use the Website for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to any portion of the Website
  • Interfere with or disrupt the Website’s functionality

5. Quotations and Orders

5.1 Quote Requests

  • All quotes provided by infraMOD are estimates based on information provided by the client
  • Quotes are valid for 30 days from the date of issue unless otherwise specified
  • Quotes are not binding until a formal purchase order or contract is executed
  • Final pricing may vary based on site conditions, material costs, and project scope changes

5.2 Orders and Contracts

  • Orders must be submitted in writing via purchase order or signed contract
  • All orders are subject to acceptance by infraMOD
  • We reserve the right to refuse or cancel orders at our discretion
  • Minimum order quantities or project sizes may apply
  • Custom fabrication orders may require deposits or milestone payments

5.3 Modifications

  • Changes to orders after acceptance may incur additional charges
  • Modification requests must be submitted in writing
  • Acceptance of modifications is at infraMOD’s sole discretion

6. Pricing and Payment

6.1 Pricing

  • All prices are quoted in Canadian Dollars (CAD) or US Dollars (USD) as specified
  • Prices exclude applicable taxes, duties, shipping, and installation costs unless stated otherwise
  • We reserve the right to adjust pricing due to material cost fluctuations, exchange rate changes, or unforeseen circumstances
  • Volume discounts may be available for large orders

6.2 Payment Terms

  • Payment terms are Net 30 days from invoice date unless otherwise agreed
  • Deposits may be required for custom fabrication or large orders
  • Late payments may incur interest charges at a rate of 1.5% per month (18% annually) or the maximum rate permitted by law
  • We reserve the right to suspend services or withhold delivery for overdue accounts

6.3 Taxes

  • All applicable federal, provincial/state, and local taxes are the responsibility of the Client
  • Tax exemption certificates must be provided prior to invoicing if applicable

7. Delivery and Shipping

7.1 Delivery Terms

  • Delivery timelines are estimates and may vary based on production schedules, weather, and site conditions
  • Title and risk of loss transfer upon delivery to the specified job site or shipping carrier
  • Delivery schedules must be coordinated with the Client’s project timeline
  • Delays due to weather, site access, or Client-caused issues are not the responsibility of infraMOD

7.2 Shipping Costs

  • Shipping, freight, and transportation costs are the responsibility of the Client unless otherwise agreed
  • Special delivery requirements may incur additional charges
  • International shipments are subject to customs duties and import regulations

7.3 Delivery Inspection

  • Clients must inspect all deliveries upon receipt
  • Damage or shortage claims must be reported within 48 hours of delivery
  • Failure to report damages within the specified timeframe may result in denial of claims

8. Installation Services

8.1 Installation Scope

  • Installation services are provided as an optional add-on to product purchases
  • Installation scope, timeline, and costs are detailed in separate service agreements
  • Installation is subject to site conditions, weather, and Client cooperation

8.2 Site Requirements

  • Clients must ensure proper site access, utilities, and permits before scheduled installation
  • Delays caused by inadequate site preparation are not the responsibility of infraMOD
  • Additional charges may apply for site-related delays or complications

8.3 Safety and Compliance

  • All installation work adheres to applicable safety regulations and building codes
  • Clients are responsible for obtaining necessary permits and approvals
  • infraMOD maintains appropriate insurance and certifications for installation services

9. Product Warranties

9.1 Limited Warranty

infraMOD warrants that products will be free from defects in materials and workmanship under normal use for a period of:

  • Structural Components: 12 months from delivery date
  • Modular Systems: 12 months from delivery date
  • Custom Fabrications: As specified in purchase agreement

9.2 Warranty Exclusions

This warranty does not cover:

  • Normal wear and tear
  • Damage from improper use, installation, or maintenance
  • Modifications or repairs not performed by infraMOD
  • Damage from accidents, abuse, or Acts of God
  • Products not used in accordance with specifications
  • Damage occurring during Client transportation or storage

9.3 Warranty Claims

  • Warranty claims must be submitted in writing with photographic evidence
  • infraMOD will, at its sole discretion, repair, replace, or refund defective products
  • Labor costs for warranty repairs are not covered unless specifically agreed
  • This warranty is the sole and exclusive remedy for defective products

10. Limitation of Liability

10.1 General Limitations

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFRAMOD SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, consequential, special, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Project delays or construction schedule impacts
  • Third-party claims arising from product use
  • Damages exceeding the total amount paid for the specific product or service

10.2 Maximum Liability

Our total aggregate liability shall not exceed the total purchase price paid by the Client for the specific products or services giving rise to the claim.

10.3 Force Majeure

We are not liable for delays or failures to perform due to circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of war, labor disputes, supply chain disruptions, pandemics, government actions, or material shortages.

11. Intellectual Property

11.1 Ownership

  • All content on the Website, including text, graphics, logos, designs, and software, is owned by infraMOD or its licensors
  • The infraMOD™ name, logo, and branding are trademarks of Saskarc Inc.
  • Product designs, engineering specifications, and proprietary methodologies are protected intellectual property

11.2 Limited License

You are granted a limited, non-exclusive, non-transferable license to access and use the Website for personal or business purposes related to potential or existing business relationships with infraMOD.

11.3 Restrictions

You may not:

  • Reproduce, modify, or create derivative works from our intellectual property
  • Use our trademarks or branding without written permission
  • Reverse engineer or copy our proprietary designs or methodologies
  • Claim ownership of or register similar marks or designs

12. Confidentiality

12.1 Confidential Information

Both parties agree to maintain confidentiality of:

  • Proprietary designs and engineering specifications
  • Pricing information and commercial terms
  • Business strategies and project details
  • Technical data and manufacturing processes

12.2 Exceptions

Confidentiality obligations do not apply to information that:

  • Is publicly available through no breach of these Terms
  • Was independently developed without access to confidential information
  • Is required to be disclosed by law or regulatory authority

13. Indemnification

You agree to indemnify, defend, and hold harmless infraMOD, Saskarc Inc., Saskarc Group, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use of our products or services
  • Your breach of these Terms
  • Your violation of any laws or regulations
  • Your negligence or willful misconduct
  • Third-party claims related to your projects or operations

14. Privacy and Data Protection

14.1 Data Collection

We collect and process personal information as described in our Privacy Policy, including:

  • Contact information (name, email, phone, company)
  • Project details and technical specifications
  • Payment and billing information
  • Website usage data and analytics

14.2 Data Use

We use collected data to:

  • Process quotes and orders
  • Provide customer service and technical support
  • Improve our products and services
  • Send project updates and marketing communications (with consent)
  • Comply with legal and regulatory requirements

14.3 Data Security

We implement reasonable security measures to protect your information, but cannot guarantee absolute security of data transmitted over the internet.

14.4 Third-Party Sharing

We do not sell personal information to third parties. We may share data with:

  • Service providers and contractors performing services on our behalf
  • Shipping and logistics partners
  • Payment processors
  • Legal authorities when required by law

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the Province of Saskatchewan, Canada, without regard to conflict of law principles.

15.2 Arbitration

Any disputes arising from these Terms or our business relationship shall be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada, conducted in English in Saskatchewan, Canada.

15.3 Exceptions

Either party may seek injunctive relief in court for:

  • Intellectual property violations
  • Confidentiality breaches
  • Collection of undisputed amounts owed

15.4 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

16. Project-Specific Terms

16.1 Site Access and Cooperation

Clients must provide:

  • Safe and timely site access for delivery and installation
  • Adequate storage and laydown areas
  • Necessary utilities and site facilities
  • Coordination with other contractors and stakeholders

16.2 Permits and Approvals

Clients are responsible for:

  • Obtaining all necessary building permits and approvals
  • Ensuring compliance with local codes and regulations
  • Securing required engineering certifications
  • Coordinating with authorities having jurisdiction

16.3 Design Changes

  • Engineering changes must be approved in writing by both parties
  • Design modifications may impact pricing and delivery schedules
  • Clients are responsible for providing accurate site data and specifications

17. Rental and Leasing Terms

17.1 Rental Equipment

When renting infraMOD equipment:

  • Rental periods begin upon delivery and end upon return to our facility
  • Minimum rental periods and rates apply as specified in rental agreements
  • Equipment must be returned in good condition, normal wear excepted
  • Damage or loss during rental period is the Client’s responsibility

17.2 Maintenance and Repairs

  • Clients must maintain rental equipment according to our specifications
  • Unauthorized repairs or modifications void warranties and rental agreements
  • Equipment must be inspected before return; damage charges apply

17.3 Rental Extensions

  • Rental extensions must be approved in advance
  • Extension rates and availability are subject to our rental schedule
  • Late return without approval may incur additional charges

18. Termination

18.1 Termination by Client

Clients may cancel orders or contracts subject to:

  • Written notice requirements as specified in agreements
  • Cancellation fees for work completed or materials ordered
  • Restocking fees for standard products (typically 20-35%)
  • No refunds for custom-fabricated items

18.2 Termination by infraMOD

We may terminate services or suspend access if:

  • Client breaches these Terms or payment obligations
  • Client provides false or misleading information
  • Continuation poses safety, legal, or reputational risks
  • Force majeure circumstances prevent performance

18.3 Effect of Termination

Upon termination:

  • All outstanding amounts become immediately due
  • Client must return all rental equipment and proprietary materials
  • Confidentiality obligations continue indefinitely
  • Provisions intended to survive termination remain in effect

19. General Provisions

19.1 Entire Agreement

These Terms, along with any written agreements, quotations, and purchase orders, constitute the entire agreement between parties and supersede all prior discussions, agreements, and understandings.

19.2 Amendments

We reserve the right to modify these Terms at any time. Changes become effective upon posting to the Website. Continued use of our services constitutes acceptance of modified Terms.

19.3 Severability

If any provision is found unenforceable, the remaining provisions continue in full force and effect, and the unenforceable provision shall be modified to achieve its intent to the maximum extent possible.

19.4 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision. No waiver is effective unless in writing and signed by authorized representatives.

19.5 Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may freely assign these Terms to affiliates or successors.

19.6 Independent Contractors

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

19.7 Notices

All notices must be in writing and sent to the addresses specified in Section 2 or as updated in writing. Notices are effective upon receipt.

19.8 Language

These Terms are drafted in English. Any translations are for convenience only, and the English version controls in case of conflict.

20. International Clients

20.1 Export Compliance

International sales are subject to:

  • Export control laws and regulations of Canada and destination countries
  • Customs duties, import taxes, and clearance fees (Client’s responsibility)
  • Currency exchange rate fluctuations

20.2 International Warranties

Warranty terms for international clients may differ based on location and local laws. Shipping costs for warranty claims are Client’s responsibility.
